Terms & Conditions – SHI Logistics

1. Scope & Acceptance

  • These terms govern all logistics, freight, warehousing, delivery, and related services (“Services”) provided by SHI Logistics (“Company,” “we,” “us”) to any customer, shipper, consignee, supplier, or contractor (“Customer,” “you,” “your”).

  • The agreement comprises (i) these Terms, (ii) any quotes or rate confirmations, (iii) relevant shipping/warehousing documents (e.g., BOLs, warehouse receipts), and (iv) any additional written contractual terms.

  • By engaging our Services—via website, form, verbal confirmation, or document acknowledgment—you accept and agree to these Terms.

2. Services & Execution

  • We offer pick-up, transport, warehousing, distribution, customs clearance, tracking, and related support services.

  • We may subcontract service tasks unless explicitly contracted to act as principal.

  • You must provide accurate information about goods, packaging, labeling, dangerous goods declarations, and special handling needs.

3. Customer Obligations

  • Ensure accuracy of shipment data (content, dimensions, weight, dimensions, marks).

  • Secure packaging and labeling compliant with applicable laws/regulations.

  • Provide necessary documentation (customs, hazardous material, insurance).

  • Grant service personnel site access during scheduled pickup/delivery.

  • Promptly pay agreed charges within the payment terms.

4. Liability & Limits

  • We are liable only for loss/damage directly caused by our negligence and only after receipt of goods in good condition.

  • Liability is limited to the lowest of:
    a) the freight charge for the affected shipment, or
    b) caps set by applicable law or conventions (e.g., CMR, Hague-Visby, Montreal), or
    c) declared value if you request and pay for excess liability coverage.

  • We are not liable for consequential losses (e.g. lost profits, delay damages).

  • You must notify us of visible damage within delivery; hidden damage within 7 days, and file suit within 1 year per industry conventions.

5. Force Majeure

  • We are not liable for delays or failure caused by uncontrollable events, including natural disasters, strikes, war, regulatory changes, or carrier default.

6. Indemnification

  • You agree to defend, indemnify, and hold us harmless for losses arising from:

    • Inaccuracies in your information or instructions.

    • Incorrect packaging or labeling.

    • Violations of law (e.g., illicit goods, prohibited items).

    • Claims arising from acts of subcontractors engaged by you.

7. Storage & Disposal

  • Goods unclaimed after notification may be warehoused at your expense.

  • Perishable or unclaimed goods may be sold or destroyed at your risk after reasonable notice.

  • Storage lien rights apply as per applicable law.

8. Pricing & Payment

  • Charges are per quote or rate schedule; additional costs (duties, insurance, storage, demurrage) may apply.

  • Payments due within [e.g., 30] days of invoice. Late payments incur interest and collection fees, as permitted by law.

  • We reserve a security interest (lien) on goods/documents until debts are paid.

9. SMS Messaging

  • With your affirmative consent, we may send transactional and promotional SMS (e.g. shipping notifications, offers).

  • Frequency may vary; standard message/data rates apply.

  • To unsubscribe, reply STOP at any time; for help, reply HELP.

10. Confidentiality

  • All shipment data, customer packages, rates, and business info are confidential and not subject to disclosure except by law or your consent.

11. Governing Law & Dispute Resolution

  • These Terms are governed by the law selected in your quote (e.g. state/province/country).

  • Disputes will be resolved in courts with proper jurisdiction, as indicated in your shipping documentation or our quote.

12. Modifications

  • We reserve the right to update these Terms at any time. Revised versions are effective when posted. Continued use of our Services signifies acceptance.
